Is the air box and muffler the same on both the 06 and 09 Ulys? I mean will they inter change? Does the 09 have the variable exhaust actuator system?

All XB12 models have the valve in the exhaust. The 09 (actually 07+) has a more open inner airbox, and it will snap right on.
